1. Who we are

Whetstone (“Whetstone”, “we”, “us”) is operated by ATE/8/EIGHT (ABN 18 582 825 864), a sole trader registered in Australia. These Terms & Conditions (“Terms”) govern your access to and use of the Whetstone website, application and related services (the “Service”). By using the Service you agree to these Terms; if you don’t agree, please don’t use it.

2. Who can use it

You must be old enough to form a binding contract in your country to use the Service. If you’re signing up on behalf of a business, kitchen, or organisation, you confirm you have authority to bind that entity to these Terms.

3. The Service

Whetstone provides recipe and dish costing tools, AI-assisted features (invoice scanning, mentor suggestions, allergen sheets, prep list generation and similar), and short learning content aimed at professional kitchens. We may change or improve the Service from time to time.

4. Your account

You’re responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Tell us promptly if you suspect unauthorised access.

5. Acceptable use

You agree not to:

  • use the Service for anything unlawful, fraudulent, or deceptive;
  • send spam, malware, or attempt to probe, scan, or breach security;
  • infringe anyone’s intellectual property or privacy rights;
  • scrape, reverse engineer, or attempt to derive source code from the Service;
  • resell, redistribute, or share your account with people who haven’t agreed to these Terms.

6. AI features

Whetstone uses AI to help with tasks like reading invoices, suggesting substitutions, scaling recipes, and answering costing questions. AI outputs may be inaccurate or incomplete and are not a substitute for professional judgement. You’re responsible for reviewing outputs before acting on them, especially for allergen information, pricing decisions, and anything involving food safety. You’re also responsible for the content you submit (invoices, recipes, menus, photos) and confirm you have the right to submit it.

We may filter, refuse, or remove AI outputs and may restrict or suspend accounts that repeatedly misuse AI features (for example, attempting to generate unlawful content or infringing material).

7. Your content

You keep ownership of the recipes, menus, invoices, images, and other content you upload (“Your Content”). You grant us a limited licence to host, store, and process Your Content solely so we can provide the Service to you and your kitchen team.

8. Our intellectual property

Whetstone, including its software, design, learning content, brand and documentation, is owned by ATE/8/EIGHT (ABN 18 582 825 864) and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your plan. Nothing in these Terms transfers ownership to you.

9. Plans, payments and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment terms, billing frequency, taxes, currency, invoicing, and cancellation mechanics for paid plans and credit purchases are set out in Paddle’s Buyer Terms. Refunds are handled under our Refund Policy.

Subscriptions renew automatically at the end of each billing period unless cancelled. You can manage or cancel your subscription at any time from the billing page in the app.

Kitchen O.G.’s founding pricing. The first 100 subscribers to a paid plan lock in the discounted “Kitchen O.G.’s” price for as long as their subscription remains continuously active. If a Kitchen O.G. cancels their subscription, their seat is permanently retired — the total pool of O.G. seats decreases by one and is not re-offered. A cancelled O.G. is welcome to re-subscribe at any time, but will do so at our standard Pro pricing; the O.G. price is a one-time, non-recoverable claim. Once all 100 seats have been claimed (whether currently active or previously cancelled), the O.G. price is closed for good and standard pricing applies to all new subscribers.

10. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly violate our acceptable use rules. You may stop using the Service at any time by cancelling your subscription and closing your account. On termination, your right to use the Service ends; we may retain data as described in our Privacy Notice.

11. Service availability

We work hard to keep the Service running, but we don’t guarantee it will be uninterrupted or error-free. Features may change and occasional downtime for maintenance is expected.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Whetstone is a costing and learning tool — it does not replace professional accounting, tax, food-safety, or legal advice.

13. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid to us (through Paddle) for the Service in the 12 months before the claim. We won’t be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (for example, liability for fraud or personal injury).

14. Indemnity

You agree to indemnify and hold Whetstone harmless from claims arising out of Your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material we’ll give you reasonable notice (for example, by email or in-app). Continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of Australia. Disputes will be handled by the courts of Australia, unless mandatory local consumer law requires otherwise.
